Terms of Service

Effective date: October 8, 2026

These Terms of Service (“Terms”) are a binding agreement between you and Jonathan Blake LLC, doing business as The Lead Venture and operating Home Pros Ohio at homeprosohio.com (“Home Pros Ohio,” “we,” “us” or “our”). They govern your use of our website, directory, calculators, assessments, resources, forms and paid listing plans (the “Services”).

Please read these Terms carefully. Section 15 requires most disputes to be resolved by binding individual arbitration and waives class actions and jury trials, unless you opt out as described there.

By using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services for a business, you represent that you are authorized to bind that business, and “you” includes the business.

2. What Home Pros Ohio is (and is not)

Home Pros Ohio is an online directory and information resource. We help homeowners find and compare home service businesses.

• We are not a contractor. We do not perform, supervise, inspect or guarantee any work.
• We are not a party to any agreement between you and a business you find through the Services. Any contract, payment, warranty or dispute is solely between you and that business.
• We do not employ the businesses listed, and they are not our agents.
• We do not endorse any business. A listing, ranking, badge or placement is not a recommendation.

3. Listings, ratings and paid placement

• Accuracy. Listing information comes from public sources, data providers and business owners. It may be incomplete, outdated or inaccurate. We do not verify every detail.
• Licensing and insurance. “Verified” means only that a business confirmed certain details with us. It does not mean we verified licensing, insurance, bonding, background, workmanship or legal compliance. Licensing rules vary by trade and city. Ohio licenses plumbing, HVAC, electrical and certain other trades through the Ohio Construction Industry Licensing Board, but does not license residential roofers statewide. You are responsible for verifying any license, registration, permit and insurance before hiring.
• Ratings and reviews come from third-party sources. We do not verify individual reviews and are not responsible for their content.
• Advertising disclosure. Listings labeled Featured or Sponsored are paid placements, and we receive compensation from those businesses. Preferred Partners are businesses we choose to recommend; if a Preferred Partner pays us or has another material connection to us, its listing discloses that. Placement affects where a listing appears and how it looks. It is not a guarantee of quality.
• Ranking. Listings are ordered by paid status, verification status, ratings, review volume and other factors we choose. We may change how listings are displayed at any time.

4. Calculators, assessments and content

Cost calculators, assessments, cost guides, checklists, articles and tips are for general informational and planning purposes only. Price ranges are estimates drawn from published industry sources and may not reflect current local prices. These tools are not quotes, bids, inspections, appraisals, engineering, or legal, tax, financial or insurance advice. Always obtain written estimates and professional advice for your specific situation.

5. Homeowner requests and communications

If you request quotes or ask to be connected with businesses, you authorize us to share your information with up to three businesses as described in our Privacy Policy. Those businesses may contact you by phone, text or email. You may opt out of texts by replying STOP. You are responsible for your choice of business and for evaluating any offer you receive.

6. Business owners: submissions and claims

If you submit or claim a listing, you represent and warrant that:

1. you own or are authorized to represent the business;
2. all information you provide is true, accurate and current, and you will keep it updated;
3. you hold all licenses, registrations, permits and insurance required by law for the services you advertise; and
4. your listing and content do not infringe anyone’s rights or violate any law, including advertising, consumer protection and home solicitation laws.

We may verify ownership, edit listings for format and accuracy, and approve, reject, suspend or remove any listing or content at any time, at our discretion.

7. Paid plans, billing and cancellation

• Plans. Paid plans (such as Verified, Featured and Growth Engine) are described on our pricing and claim pages. Features may change over time.
• Automatic renewal. Paid plans are subscriptions that renew automatically each billing period (for example, monthly) at the then-current price, until you cancel. By purchasing, you authorize us and our payment processor, Stripe, to charge your payment method on each renewal.
• Cancellation. You may cancel at any time by emailing mail@homeprosohio.com or through any cancellation method we provide. Cancellation takes effect at the end of the current billing period, and you keep paid features until then.
• Refunds. Except where required by law, fees are non-refundable, including for partial billing periods.
• Price changes. We will give you at least 30 days’ notice of a price change to your plan. The new price applies at your next renewal after the notice period unless you cancel.
• Taxes. Prices do not include applicable taxes, which you are responsible for.
• Failed payments. If a payment fails, we may suspend paid features until payment is made.
• No guarantee of results. We do not guarantee any number of leads, calls, customers, rankings, traffic or revenue. Results vary and depend on many factors outside our control.

8. Your content and license to us

You keep ownership of content you submit, such as business descriptions, photos and logos (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, modify for formatting, publish, display and distribute Your Content in connection with the Services and their promotion. You represent that you have all rights needed to grant this license.

9. Acceptable use

You agree not to:

• submit false, misleading, defamatory or unlawful information, or impersonate anyone;
• post fake reviews or manipulate ratings or rankings;
• scrape, harvest or bulk-download listings or data, or use bots, except as allowed by our robots.txt for search engines;
• interfere with, overload or attempt to gain unauthorized access to the Services;
• use the Services to send spam or unsolicited commercial messages;
• reverse engineer the Services except as permitted by law; or
• use the Services for any unlawful purpose.

10. Intellectual property

The Services, including the design, text, graphics, logos, calculators, compilations of data and software, are owned by us or our licensors and protected by copyright, trademark and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for personal or internal business purposes. “Home Pros Ohio” and our logos are our trademarks. Third-party trademarks belong to their owners. Photos from Unsplash are used under the Unsplash License and credited to their photographers.

11. Copyright complaints

If you believe content on the Services infringes your copyright, send a notice to mail@homeprosohio.com that includes: your signature; identification of the copyrighted work; identification of the infringing material and where it appears; your contact information; a statement that you have a good-faith belief the use is not authorized; and a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act for the owner. We may remove material and terminate repeat infringers.

12. Third-party sites and services

The Services link to third-party websites and services, including listed businesses, Midwest Roof Calculators, social networks, Stripe and Unsplash. We do not control and are not responsible for them. Your use of third-party sites is at your own risk and subject to their terms.

13. Disclaimer of warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY LISTING, ESTIMATE OR CONTENT IS ACCURATE OR RELIABLE. WE MAKE NO WARRANTY ABOUT THE QUALITY, SAFETY, LEGALITY OR LICENSING OF ANY BUSINESS OR ITS WORK.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HOME PROS OHIO AND ITS OWNERS, MEMBERS, EMPLOYEES, CONTRACTORS AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR ANY BUSINESS YOU FIND THROUGH THEM, INCLUDING PROPERTY DAMAGE, PERSONAL INJURY, DEFECTIVE WORK, NON-PERFORMANCE OR DISPUTES WITH A BUSINESS.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

15. Dispute resolution and arbitration

Informal resolution first. Before filing a claim, you agree to email mail@homeprosohio.com with a description of the dispute and to try to resolve it informally for 30 days.

Binding arbitration. If the dispute is not resolved, you and we agree that any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (or Commercial Arbitration Rules for business users). The Federal Arbitration Act governs this section. The arbitration will take place in Stark County, Ohio, or by video or phone, or as otherwise agreed. The arbitrator may award the same individual relief a court could.

Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property.

Class action and jury trial waiver. YOU AND WE AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE ACTION, AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL.

Opt-out. You may opt out of this arbitration agreement by emailing mail@homeprosohio.com with your name and the statement “I opt out of arbitration” within 30 days after you first accept these Terms.

If any part of this section is found unenforceable, the remainder still applies, except that if the class action waiver is found unenforceable for a claim, that claim must proceed in court and not in arbitration.

16. Governing law and venue

These Terms are governed by the laws of the State of Ohio and applicable federal law, without regard to conflict-of-law rules. For any claim not subject to arbitration, you and we consent to the exclusive jurisdiction of the state and federal courts located in Stark County, Ohio.

17. Indemnification

You agree to defend, indemnify and hold harmless Home Pros Ohio and its owners, members, employees and contractors from any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising from: your use of the Services; Your Content; your violation of these Terms or any law; or, for business users, the services you provide to customers.

18. Termination

We may suspend or terminate your access to the Services, or remove any listing, at any time and for any reason, including violation of these Terms. Sections that by their nature should survive termination will survive, including Sections 2, 3, 4 and 8 through 21.

19. Changes to the Services and these Terms

We may modify or discontinue any part of the Services at any time. We may update these Terms by posting a new version with a new effective date. If changes are material, we will provide reasonable notice. Continued use after the effective date means you accept the updated Terms.

20. Electronic communications

You consent to receive notices, agreements and disclosures electronically, including by email and by posting on the Services. Electronic communications satisfy any requirement that they be in writing.

21. General

These Terms and the Privacy Policy are the entire agreement between you and us about the Services. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Headings are for convenience only.
